Acceptance of Terms
By accessing or using the Service, you represent that you are at least 18 years old, have the legal authority to enter into this agreement on behalf of your firm, and agree to comply with these Terms and all applicable laws. If you do not agree, do not use the Service.
Description of Service
Axos CRM is a cloud-based tax document management platform designed for accounting firms. The Service includes secure document storage, client portals, electronic signatures, automated backups, and compliance tooling.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Material changes will be communicated at least 30 days in advance.
Account Registration
You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
You must notify us immediately at security@axoscrm.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account where you failed to notify us promptly.
One account represents one accounting firm. Staff members may be invited as additional users under your firm's account subject to the seat limits of your plan.
Subscription and Payment
Free Trial
All plans include a 14-day free trial. A $0.00 authorization is processed to verify your payment method. You will not be charged until the trial ends. You may cancel at any time during the trial at no cost.
Billing
Subscriptions are billed monthly or annually in advance. Yearly plans are billed as a single upfront charge. All fees are in US Dollars and are non-refundable except as required by law or as expressly stated herein.
Upgrades and Downgrades
Upgrades take effect immediately with a prorated charge for the remaining billing period. Downgrades take effect at the start of the next billing cycle. No refund is issued for unused days on a downgraded plan.
Taxes
Prices are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Service, except for taxes on our net income.
Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload or transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to the Service or its infrastructure
- Reverse engineer, decompile, or extract source code from the Service
- Resell, sublicense, or otherwise transfer your access to third parties without our consent
- Use the Service to store or process data unrelated to your accounting practice
- Conduct load testing or vulnerability scanning without prior written authorization
We reserve the right to suspend or terminate accounts that violate these terms without prior notice.
Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by Axos CRM Inc. and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Service for your firm's internal purposes.
Nothing in these Terms transfers ownership of the Service or its intellectual property to you.
Data Ownership
You retain full ownership of all data you upload to the Service (“Firm Data”). You grant us a limited license to store, process, and transmit Firm Data solely as necessary to provide the Service.
We will never sell, share, or use your Firm Data for any purpose other than delivering the Service. Upon termination, we will provide a data export and delete your data within 90 days, except where retention is required by law.
Service Availability
We target 99.9% monthly uptime for Professional plans and 99.99% for Enterprise plans, as specified in each plan's Service Level Agreement. Scheduled maintenance windows are communicated at least 48 hours in advance and do not count against SLA calculations.
In the event of an unplanned outage exceeding SLA thresholds, affected customers are eligible for service credits as specified in their plan documentation.
Limitation of Liability
To the maximum extent permitted by applicable law, Axos CRM Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
Our total cumulative liability for any claims arising under these Terms shall not exceed the greater of (a) the fees paid by you in the 12 months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow limitations on implied warranties or liability for consequential damages, so the above limitations may not apply to you.
Termination
You may cancel your subscription at any time from your account settings. Access continues until the end of the current billing period. No refunds are issued for partial periods.
We may terminate or suspend your account immediately for material breach of these Terms, non-payment after 14 days' notice, or if required by law. In non-emergency situations, we will provide 30 days' notice.
Upon termination, your right to access the Service ceases. We will retain your data for 90 days to allow export before permanent deletion.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
For customers located in the European Union, mandatory consumer protection provisions of your local law also apply.
